NDA Before a Custom Silicone Mold Design | RUUIPON

A mutual NDA before you send a proprietary STEP, logo vector, or unreleased mascot is a normal start. It covers how we handle your files on a custom RTV job: who can see them, that we will not republish the geometry as a stock SKU, and that we will not use the art on a different customer’s tray. It is not a press release of famous clients (we will not invent names here), not an “FDA-approved factory” stamp, and not mold ownership. Tooling charge still is not unrestricted title. Archive and recast rights live on the PO even after everyone signed the NDA.

Does not apply when the geometry is already public (a listing photo everyone can download), when you need a device-dossier NDA for a medical *part* (wrong plant), or when you want the NDA to replace millimetres. We still need a file.

What the NDA should actually say for an RTV tool

In: your CAD, art, grams targets, unreleased brand marks; our obligation not to show them in a portfolio without written OK; return or destroy of copies at the end of the job if you ask and the archive clause allows.

Out: a promise that we have never seen a similar mascot (we will not sign “unique in the world”). General mold-making know-how. Public food-contact test methods such as 21 CFR 177.2600 language. Our right to refuse a dump that would break a food cabinet.

Not a substitute for: CAD lock, Shore, split, dump family, MOQ 20, the $50 line when we must model.

CBD/THC jobs are tooling and docs only — no dosing or medical claims inside or outside the NDA.

The photo that would prove a clean start: signed NDA date, then the STEP filename and rev on the lock screenshot. A watermarked JPG of a celebrity is not a CAD pack.

Worked example (anonymized)

A brand sent vectors under NDA, then asked us to publish the tray on the homepage “for SEO.” We refused; the NDA ran both ways. They later approved a cropped cavity photo with no logo. CAD lock, $50 because the PNG needed millimetres, 3–7 business days, MOQ 20. No client name appears here because that is the point of the NDA.

Shop handling versus legal poetry

On the floor, confidential CAD means: limited seats, job-folder naming, no WeChat dump of your STEP into a group chat, nitrile not latex on platinum masters, and no portfolio shot of a readable logo unless you ticked that box. It does not mean a cleanroom we do not claim, and it does not mean ISO 13485 we do not invent. QMS talk for *parts* lives on the other site.

If your counsel sends a 20-page US template that forbids subcontract masters or forbids platinum purchase, we will mark it. We pour RTV; we buy rubber; we may CNC or print a master. A clause that forbids those steps forbids the job. Redline the manufacturing reality before anyone mixes A/B.

Export and HS codes are the buyer’s forwarder conversation. We will not invent an HS number in the NDA. Incoterms belong on the commercial invoice, not in a confidentiality recital.

WeChat screenshots of CAD are still CAD. If you paste geometry into chat, the NDA still applies and the millimetres still need a real file at lock. Do not treat a screenshot as rev control.

One procurement mix-up

“Sign our NDA so we don’t need a STEP” mixes confidentiality with geometry. We can keep a secret and still not know the millimetres. Tooling charge under NDA is still not unrestricted ownership of the master or of our $50 solid unless the PO says so.

Simple 3D at USD $50 is still CAD of your idea. If the NDA says all work product is yours, say whether that includes our unused split studies. If it does not, we keep know-how and you keep the locked solid. Write it once so a recast in year two is not a fight.

We would not recommend

We would not recommend a one-way NDA that forbids us from naming platinum or Bao'an as if those were your trade secrets.

We would not recommend listing fake customers as a “trust” substitute for an NDA.

We would not recommend using the NDA to skip food-cabinet split (resin vs chocolate).

We would not recommend freezing MOQ 20 before lock because the NDA felt official.

A paid sample under NDA is still a sample. Production remains MOQ 20 pieces per design after the lock you will run. Confidentiality does not shrink twenty into two, and it does not start the 3–7 business day clock before millimetres exist on the signed CAD lock sheet, revision fully included.

What to ask when you're buying

• Mutual NDA, or only us bound?
• Portfolio: cavity photos allowed, logo allowed, or neither?
• Archive after the job: keep CAD for recast, or destroy (then next PO is a new model, maybe $50)?
• Who owns the master and the $50 solid?
• Food vs resin — NDA does not mix cabinets.

FAQ

Do I need an NDA to get a quote? Only if the geometry is proprietary. A public listing can RFQ without one. Either way we need a datum.

Will you sign that you never make a similar shape? We will not sign “unique in the world.” We will not republish your file.

Does the NDA include FDA or LFGB? No. Those are article document packs, not confidentiality. 21 CFR 177.2600 is a test method, not a factory stamp.

If we destroy the archive under NDA, can I still reorder? Not from our file. You send CAD again. USD $50 if we must remodel. MOQ 20 of that design.

Can you name other customers under NDA? We will not invent a client list in this article or on a sales call. Ask for process, not celebrities.
